Procedures Guide

The Procedures guide allows entrepreneurs and decision-makers to have a reliable, precise and up to date overview of legal procedures and measures concerning commercial formalities to be undertaken. It is broken down into 6 sections in which you can find information and documentation required for formalities with Registry Offices at the Commercial Courts.

Declaration of removal

You must file with the competent Commercial Formality Centre (CFE) or the registry office of the commercial court the removal file accompanied by the summary documents mentioned below.

Documents to be attached to the file

Legal instruments to be produced by annex to the RCS

A copy of the legal instrument noting the closing of liquidating operations, certified by the liquidator (in the event of liquidation surplus, the attached legal instrument must first be stamped and recorded at the tax office, except for a EURL).

A copy of the closing annual accounts, certified as conforming by the liquidator.

Supporting documents

The M4 printed forms duly completed and signed.

An original power of attorney of the liquidator, if such did not sign the M4 forms.

A certificate of publication in a journal of legal announcements.

Attach a cheque of 15.26 euros for the removal of a principal registration, with filing of the legal instruments

Cheques must be made payable to the relevant GREFFE DU TRIBUNAL DE COMMERCE, and attached to the application.

However, if the company has one (or several) establishment(s) registered with the Trade and Companies Register (RCS) for which the territorial jurisdiction is that of another court: add 12.48 euros for the notice of removal (to be multiplied by the number of secondary registrations).
