It is broken down into 6 sections in which you can find information and documentation required for formalities with Registry Offices at the Commercial Courts.

Reference of a person duly empowered to bind the registered person

In fact, this designation refers back to the former indication of "authorised signatory".

The Trade and Companies Register (RCS) declaration of a person having the power to regularly commit, by his signature, the liability of the registered person, such as the removal from the RCS of the indication relating to such person, consists of a modifying declaration of registration in the name of an establishment (principal, supplementary or secondary).

The declarative forms are signed by the individual business owner, the legal representative of the legal entity, or by a duly authorised representative.

 

SUPPORTING DOCUMENTS TO BE ATTACHED TO THE APPLICATION

FOR INDIVIDUAL BUSINESS OWNERS

Appointment

The P2 CMB forms duly completed and signed.

An original power of the sole trader if he or she has not signed the P2 CMB forms.

A copy of a form of identification of the authorised person : copy of a passport or of a valid national identity card, or a copy of a valid, double-sided resident permit, as applicable. The status indicated on the residence permit must allow the holder to register with the Trade and Companies Register (RCS).

An original dated and signed sworn declaration of non-conviction, which will be subject to verification with the criminal record by the appointed judge of the Trade and Companies Register.

A certificate of family relationship (full names of parents) unless the family relationship appears in a document already provided.

Termination of functions and deletion of references

The P2 CMB forms duly completed and signed.

FOR LEGAL ENTITES

Appointment

The duly completed and signed M3 SARL-SELARL printed forms . These forms are anticipated as the declarations for limited liability companies and private practice companies with limited liability.

If the declaration relates to a simplified joint stock company (SAS), a public limited company, a general partnership (SNC), a civil society or a limited partnership company (simplified or joint stock), to be transmitted are M3 printed forms. For economic interest groups (GIE) and European economic interest groups, G3 printed forms are required.

An original power of attorney from the legal representative if he or she has not signed the forms.

A copy of a form of identification of the authorised person : copy of a passport or of a valid national identity card, or a copy of a valid, double-sided resident permit, as applicable.
