The Procedures guide allows entrepreneurs and decision-makers to have a reliable, precise and up to date overview of legal procedures and measures concerning commercial formalities to be undertaken. It is broken down into 6 sections in which you can find information and documentation required for formalities with Registry Offices at the Commercial Courts.

Transfer of the principal establishment of an individual business owner (outside of the jurisdiction)

The completed file allowing for the RCS formality of the principal registration of an individual business owner, following transfer, must be filed within the month following such event (Article R. 123-66 of the Commercial Code): either

  • at the competent Commercial Formality Centre (CFE); or
  • directly with the clerk of the Commercial Court IN THE JURISDICTION TO WHICH THE ESTABLISHMENT IS TRANSFERRED, by application of Article R. 123-5 of the Commercial Code (the procedure known as "Article 3" of Decree No. 96-650 of 19 July 1996).

Supporting documents to be attached to the file

The P2 CMB printed forms duly completed and signed.

An original extract from the Trade and Companies Register, dating less than three months, unless if the declarant effectuates a transfer between two clerks of the COMMERCIAL COURT.

An original power of attorney of the business owner, if such did not sign the P2 CMB forms.

If the declared activity is regulateda copy of the authorisation, diploma, approval or qualification, as the case may be.

ATTACH A CHEQUE FOR 147.61 EUROS (without activity in the jurisdiction of the former court clerk)

Provide, if necessary, supplementary notice expenses for each secondary registration: 37.44 euros.

Cheques must be made payable to the relevant GREFFE DU TRIBUNAL DE COMMERCE, and attached to the application.
